Hello all, we need to re-sign the accord préalable to include Joannes and Ann. This document will give them the legal right to buy their lot from the current owner.
The current version of the accord préalable, unfortunately, references the offer as a thing of the future. It also does not mention Odile and Hannah + Jeroen as porteurs. So the whole thing reads a bit weird. I did a “lazy” update of only letter H, and I. and II. in the Objet section (on this file). I had already updated the table.
For me this is good enough. @RichardB, want to have a look or shall I ask Joannes to proceed with the signing? And also, Richard, where would I find the signed version of the Statutes?
The offer will indeed happen in the future, when the building permit is granted and the group is complete. That actually refers to the notarised act where we divide and resell lots among ourselves.
I can check the remainder of the accord tomorrow evening.
The SoSim statutes have never been signed to the best of my knowledge. Is that a requirement? As far as I remember, we should send a final version to our notary though.
I disagree. This sentence has the verb at the past, I believe it refers to the offer we signed in June 2024:

Anyway, what we need is an accord préalable that mutually binds the current owners and the non-owners. The former get an option to sell, the latter an option to buy. The lists of both the owners and the non-owners have changed.
How would our responsibilities vis-à-vis Coral Reef be defined otherwise? Did we do a sort of digital signing when we incorporated? I cannot remember.
EDIT: the UBO Registry information for Coral Reef lists everybody. But I am not sure as to the legal value of that, because I updated the UBO registry myself, and I could have done it without your consent.
The public information for Coral Reef only lists the five members of the board. So, my conclusion is that yes, let’s sign the current version of the statutes while Axel and Lee complete the new one (quite advanced now, it was presented in Saturday’s plenary). @Lee, I see that we do not have a “clean” version, even the old one has some edits proposed, but not yet accepted. Would you be willing to pull out of your files a signable version?
Ok, having received no objection to my lazy update of the accord préalable I imagine we are good to go with the signing process. Will ask Joannes to proceed.
There were no signatures required, I did provide the statutes and explicitly included the names of board members on the first page upon demand of the registration desk.
